Terms and conditions of use of the uianet.org/en Website and Personal Space

1. Preamble

  1. These general terms and conditions of use govern the relationship between the website https://www.uianet.org/en (hereinafter, the "Site"), published by the International Association of Lawyers or Union Internationale des Avocats (hereinafter, "UIA"), whose information and contact details are given in the "Legal Notice" section, and Visitors to the Site.
  2. All Visitors to the Website are deemed to have read and understood these terms and conditions of use.

2. Purpose and description

  1. These terms and conditions define the use of the Website, the Members' Space and all its pages.
  2. The Website enables Visitors to view the services and activities carried out by UIA, access its Members' Directory, and view the calendar of events organised by UIA. It also offers Visitors the opportunity to join UIA and allows Members to log in to their personal space.
  3. The Website also allows Visitors to subscribe to the UIA newsletter and to contact the team via the form available in the "Contact us" section.

3. Definitions

  1. The meanings of the terms defined below shall be the following between the parties:
    • "Member": Refers to any person who meets the conditions set out in UIA's General Membership Terms and Conditions, which can be accessed here [insert link to general membership terms and conditions], whose application for UIA membership has been accepted by the Executive Committee, who has paid the membership fees due and who, as such, has a Personal Account giving them access to the Personal Space.
    • "Prospective Member": Refers to any person who has created an account on the website giving them access to the Personal Space.
    • "Internet": A global network of computer networks that enables the exchange of information using a protocol called TCP/IP. Data is transmitted via different types of networks, all of which are capable of understanding and transmitting messages according to this technical standard. Each element of this network belongs to private or public organisations that operate them in cooperation. Such cooperation does not necessarily guarantee a uniform and bilateral quality of service.
    • "Personal Space Account": Refers to the personal account assigned to a Member after validation of their membership, or to a Prospective Member, accessible on the Site by means of a username and password. It allows access to the Personal Space and management of personal information.
    • "Personal Space": Refers to the online environment accessible via the Personal Space Account, which includes services, features and content reserved for UIA members.
    • "Visitor": Refers to any person visiting the Website to view the content and information published on the Website that is freely accessible.

4. Entry into force – Duration

  1. These general terms and conditions of use come into force as soon as they are posted online. They apply to Visitors, Prospective Members and Members from the very first time they use the Website.
  2. These terms and conditions remain valid for the entire duration of use of the Website, until they are replaced by new terms and conditions of use.
  3. The date given at the top of these terms and conditions of use is the date of the last update.
  4. Visitors, Prospective Members and Members may stop using the Website at any time. However, they remain responsible for any previous use.

5. Access to the Site

  1. Access to the site is free and available 24 hours a day, 7 days a week.
  2. UIA undertakes to provide quality access and to enable Visitors to use the means of communication made available to them under the best possible conditions.
  3. Due to the complex nature of the Internet and variations in its technical performance (such as response times for viewing, querying or transferring data), UIA makes every effort to ensure access to and use of its Website. However, we cannot guarantee the absolute accessibility or availability of the Website.
  4. UIA reserves the right to temporarily or permanently shut down its Website, or access to one or more of its remote services, without notice or compensation. This may occur in particular for updates, maintenance operations, changes to operational methods, servers or accessibility schedules. This is not an exhaustive list.
  5. UIA shall not be held liable for any damages of any kind that may result from these changes, temporary unavailability, or the permanent closure of all or part of the Website or associated services.
  6. Finally, UIA reserves the right to add to or modify the Site and the services available on it at any time, in line with technological developments.
  7. It is the responsibility of Visitors, Prospective Members and Members to ensure that their computer equipment and connection methods are upgraded to remain compatible with updates and changes to the Website.

6. Conditions of access and use of Personal Space Accounts

6.1 Creating a Personal Space Account

  1. Access to the Personal Space is subject to the prior creation of a Personal Space Account on the Website.
  2. The creation of a Personal Space Account is reserved for persons who meet all of the following conditions:
    • They must have the legal capacity to commit to these general terms and conditions of use.
    • They must be a UIA member by fulfilling the conditions set out in the general terms and conditions of membership available at the following address: [insert link to general membership terms and conditions], provided that the membership application is duly accepted by UIA's Executive Committee, and must be up to date with the payment of the relevant membership fees; or register for an event organised by UIA and complete the first step of the membership form.
  3. Visitors shall refrain from creating an account on the Website under the identity of a third party.

6.2 Logging into a Personal Space Account

  1. Any use of the Personal Space Account is presumed to be made by a Member/Prospective Member, who undertakes not to allow a third party to access their Personal Space Account under their own identity.
  2. To log in to their Personal Space Account, Members/Prospective Members must enter their email address or membership number and password.
  3. Members/Prospective Members are personally responsible for the confidentiality of their means of authentication (username and password) enabling them to access their Personal Space Account.

6.3 Management of login details

  1. If they lose or forget their password, Members/Prospective Members are invited to click on the "Forgot?" link and follow the instructions displayed on the screen.
  2. Usernames and passwords are strictly private and must be used for the personal use of Members/Prospective Members only.
  3. Members/Prospective Members undertake not to disclose this information. Members/Prospective Members are solely responsible for any direct or indirect consequences that may result from the use, whether fraudulent or not, of their login details and password by a third party.
  4. Members/Prospective Members undertake to report any fraudulent use of their Personal Space and login details of which they become aware to UIA as soon as possible at the following address: uiacentre@uianet.org
  5. Members/Prospective Members are solely responsible for updating their password in the event of suspected access by an unauthorised third party to their confidential password.
  6. Members/Prospective Members are informed that under no circumstances will a member of UIA staff ask them for their password by any means whatsoever.
  7. Members/Prospective Members must not disclose their password to anyone, by any means whatsoever, including by email, post, telephone or fax. They must not respond to any request purportedly issued by UIA asking them to disclose their username and password.

6.4 Right of use

  1. UIA grants Members/Prospective Members a simple right to access and use the Personal Space. The right is revocable, non-exclusive and worldwide. It is intended for use in accordance with these general terms and conditions of use.
  2. Members/Prospective Members undertake to use the Personal Space only under the conditions defined herein and, in addition:
    • To use the Personal Space only under the conditions defined by UIA;
    • Not to misuse the Personal Space for personal purposes or for purposes other than those provided for in these general terms and conditions of use;
    • Not to commit any act of counterfeiting or unfair competition;
    • Not to introduce viruses.

6.5 Deletion of Personal Space Accounts

  1. A Member's Personal Space Account is automatically deactivated, after notification by email, in the event of loss of Membership status. Membership shall be lost in the event of resignation (non-payment of all membership fees due for the previous financial year), demise or exclusion by the Executive Committee in the event of a serious breach of statutory obligations or failure to comply with UIA's objectives, in accordance with the provisions of the general terms and conditions of membership.
  2. Personal Accounts of Prospective Members will be deleted after 3 years of inactivity from their last login.
  3. Members/Prospective Members may, at any time, request the deletion of their Personal Account by sending a request to this effect to the following address: uiacentre@uianet.org
  4. UIA may suspend a User's access to their account in the event of a breach of these Terms and Conditions or in the event of the fraudulent use of the Personal Space services, until the cause of the suspension has been resolved. UIA also reserves the right to permanently delete an account, depending on the seriousness of the alleged facts, in particular in the event of exclusion by the Executive Committee for a serious breach of statutory obligations or for failure to comply with UIA's purpose.
  5. Members/Prospective Members acknowledge that UIA cannot be held liable to them or to third parties for the consequences of the deletion or suspension of their account.

6.6 Personal Space features

  1. The Personal Space allows Members to benefit from the following services and advantages, reserved for UIA members:
    • Register for events organised by UIA (congresses, webinars, forums, etc.) and modify or cancel a registration;
    • Consult the publications available on the "UIA legal practitioners' library" page;
    • Consult the members' directory;
    • Download documents relating to events, such as programmes, reports, certificates or attendance certificates;
    • Check the status of their payments and download documents;
    • Access the commissions and committees to which the Member belongs;
    • Access, for Official Members, their mandates and documents and information related to institutional meetings.
  2. The Personal Space allows Prospective Members to benefit from the following services:
    • Register for events organised by UIA (congresses, webinars, forums, etc.) and modify or cancel a registration;
    • Consult the publications available for events in which a Prospective Member has participated, on the "UIA legal practitioners' library" page;
    • Download documents relating to events in which a Prospective Member has participated, such as programmes, reports, certificates or attendance certificates;
    • Consult the status of their payments and download documents.

7. Advertising or promotion on the Website

  1. UIA reserves the right to display advertising or promotional messages on the Website, either free of charge or for a fee.

8. Hyperlinks

  1. UIA may include links to other websites that are not under its control. UIA is not responsible for access to these sites or for the content of the information provided therein.
  2. UIA's prior authorisation must be obtained to create a link to the UIA website. Such an authorisation does not constitute an implicit affiliation.
  3. Finally, any hypertext link to the UIA website must be removed if UIA so requests.

9. Personal data

  1. UIA describes how it collects, uses and protects the personal data of Visitors, Prospective Members and Members in the Site's data protection policy.
  2. To better understand the processing of their personal data and the extent of their rights, Visitors, Prospective Members and Members are invited to consult the Site's data protection policy.

10. UIA's liability

10.1 General liability

  1. UIA cannot be held liable for the following:
    • The quality of the Website, as it is provided "as is";
    • Any interruption or disruption in the use of the Website;
    • The inability to use the Website;
    • Breaches of IT security that may damage the equipment or data of Visitors, Prospective Members and Members;
    • Breaches of the rights of Visitors, Prospective Members and Members in general;
    • Any direct or indirect damage that may result from accessing or using the Website or the information it contains, regardless of its nature.

10.2 Liability for information on the Website

  1. UIA cannot be held liable for any damage, whether direct or indirect, resulting from access to or use of its Website or the information contained therein, regardless of its nature.
  2. UIA endeavours to present up-to-date information on its Website. However, all available information is selected on a specific date.
  3. The information displayed on the Website represents opinions at the time the information was uploaded, and not necessarily those at the time you consult the Website. It is possible that a necessary update may not have taken place before your visit for technical or other reasons.
  4. UIA is not responsible for any errors or omissions. Any updates, new services or features that improve existing content will be subject to these terms and conditions.
  5. Finally, UIA declines all responsibility for the relevance of decisions made by Visitors, Prospective Members or Members, as well as the terms and conditions of their execution, based solely on the information published on the Website.

11. Obligations of Visitors, Prospective Members and Members

  1. Visitors undertake to use the Site and the information accessible on it only for purposes that are in accordance with public order, morality and the rights of third parties.
  2. Visitors also undertake to provide accurate and up-to-date information, in particular when completing any data collection form available on the Site.
  3. Furthermore, Visitors undertake not to disrupt the use of the Website by other Visitors and not to access sections of the Website to which access is restricted. Members undertake not to disrupt the use of the Website by other Members. Prospective Members undertake not to disrupt the use of the Website by other Visitors.

12. Intellectual property

  1. The content and general structure of the Site, including software, text, images (animated or otherwise), photographs and all other elements comprising it, are the exclusive property of UIA or third parties who have granted it a licence to use them.
  2. These general terms and conditions of use do not transfer any intellectual property rights to Visitors, Prospective Members or Members over the elements belonging to UIA or its beneficiaries. This includes, but is not limited to, any audio, photographs, images, texts, artistic works, software, trademarks, graphic charters and logos.
  3. Visitors, Prospective Members and Members undertake not to modify, copy, reproduce, download, disseminate, transmit, commercially use or distribute in any way whatsoever the services, Website's pages or the computer codes that comprise it.
  4. Any reproduction or representation, in whole or in part, of any of these elements without UIA's express authorisation is strictly prohibited. Such action would constitute an infringement, which could result in civil and criminal liability for the infringer. Consequently, Visitors, Prospective Members and Members shall refrain from any act that may directly or indirectly infringe upon UIA's intellectual property rights.
  5. The databases on the Website, where applicable, are also protected by intellectual property law. In accordance with Article L. 342-1 of this code, any substantial extraction or reuse of these databases, qualitatively or quantitatively, is prohibited.
  6. Similarly, the distinctive signs of UIA and its partners (domain names, trademarks, names, logos) appearing on the Website are protected by intellectual property law. Any total or partial reproduction of these distinctive signs from elements of the Website without UIA's express authorisation is prohibited.
  7. The use of the Website is only authorised in accordance with its purpose. Any other use that has not been expressly approved in writing and in advance by UIA is prohibited and considered an infringement.

13. Tolerance

  1. UIA and Visitors mutually agree that tolerance on the part of one does not grant any acquired rights to the other.
  2. Furthermore, such tolerance cannot be interpreted as a waiver of the rights concerned.

14. Headings

  1. In the event of any difficulty in interpretation due to a contradiction between the heading of a clause and its content, the heading shall be deemed non-existent.

15. Nullity

  1. In the event that one or more provisions of these terms and conditions are deemed invalid or declared as such in application of a law, regulation or irrevocable court decision, the other provisions shall remain in full force and effect.

16. Applicable law

  1. The interpretation of these general terms and conditions of use is subject to French law.
