International Sales, Transport Risks and Port Related Challenges

The seminar aims to provide a structured and practice-oriented analysis of the main legal pitfalls arising in international sales and carriage of goods, with a particular focus on port-related challenges and current issues in shipping and logistics. Addressed to lawyers involved in international trade, commercial contracts and transport law, the seminar will explore the importance of using accurate legal concepts and terminology during negotiations and contract drafting, including delivery, handing over of goods, the role of carriers and freight forwarders, and the legal consequences these notions have on risk allocation, liability and jurisdiction.
By examining key aspects such as delivery by handing goods over to the carrier, sales of goods in transit, buyer’s refusal to take delivery, conformity and damage of goods during transport, transport insurance, and payment mechanisms linked to goods or documents, the seminar will offer a comprehensive overview of the interactions between sellers, buyers and carriers. A dedicated focus will be placed on Incoterms® and their practical application in light of current challenges affecting shipping, ports and logistics. In addition, the seminar will address the Accra Convention on Negotiable Cargo Documents (adopted by the UN General Assembly on 15 December 2025), which extends the benefits of negotiable “documents of title” beyond maritime transport to all modes of carriage, including in electronic form. This development is highly relevant for sales of goods in transit, the allocation and management of transport risks, and documentary payment mechanisms (e.g., letters of credit and payment against documents), as it strengthens the legal link between control of the goods in transit and the circulation of rights through transport documentation.
