Between “Clean Teams” and “Hell or High Water” Clauses - How to Conduct the M&A Transaction and Not Violate Competition Law
 
Weddings are sometimes challenging. In M&A, this is particularly true when the candidates for the new alliance are close competitors and therefore, in particular, the "blessing" of the competition authority is not certain. In these cases, specific safeguards are necessary during the M&A process but also in the contract and during the merger control proceedings.
 
This session will - in a close alliance of specialists of the Corporate Law and M&A and Competition Law commissions - highlight a number of critical aspects and possible solutions in these kinds of challenging transactions.
